01Acceptance of these terms

By creating an account, connecting a platform, or otherwise using Adverti Chat, you agree to these Terms of Service and to our Privacy Policy, which is incorporated by reference. If you are using Adverti Chat on behalf of a business, you confirm you have the authority to bind that business to these terms, and “you” means that business.

If you do not agree, do not use the service.

02What Adverti Chat is

Adverti Chat is an AI ad intelligence platform. It connects to advertising, store, and fulfilment accounts that you authorise, and it reconciles the revenue those ad platforms report against the revenue you actually retain after cancellations, cash-on-delivery failures, and returns. It produces analytics, reports, and creative briefs to help you make decisions.

03Eligibility and your account

• You must be at least 18 years old and able to enter into a binding contract.
• You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account.
• You must tell us promptly if you suspect any unauthorised use of your account.
• We may refuse, suspend, or close accounts at our discretion where these terms are breached or where required by law.

04Connected accounts and third-party platforms

Adverti Chat works by connecting to third-party platforms such as Meta, Google, Shopify, WooCommerce, and others. When you connect an account:

• You authorise us to access and process the data described in our Privacy Policy, on your behalf, to provide the service.
• You confirm that you own the account or are permitted to connect it, and that you have any consents required to let us process the data in it, including any personal data of your own customers.
• Your use of each platform remains subject to that platform's own terms. You are responsible for complying with them.
• We are not responsible for the third-party platforms themselves, for changes they make to their APIs or data, or for interruptions in their service. If a platform restricts or changes access, some features may change or stop working.
• You can disconnect any platform at any time from your settings.

05Plans, credits, billing and taxes

Plans and credits

• Adverti Chat offers a Free plan and paid plans. Paid plans and their prices are shown on our pricing page and may change with notice.
• Usage of certain features consumes credits. Credit allowances, and whether unused credits expire, are described on the pricing page or in the product.

Billing

• Paid subscriptions are billed in advance by AdverGrow Solutions LLP and processed through our payment gateway, Razorpay. By subscribing, you authorise recurring charges until you cancel.
• You can cancel at any time. Cancellation takes effect at the end of the current billing period, and you keep access until then.
• Except where required by law, fees already paid are non-refundable.

Taxes

Prices are exclusive of taxes unless stated otherwise. Applicable taxes, including Goods and Services Tax in India at the prevailing rate, will be added as required and shown on your tax invoice.

06Acceptable use

You agree not to:

• Use the service to break any law, or to process data you have no right to process.
• Reverse engineer, copy, resell, sublicense, or create a competing product from the service, except to the extent the law does not allow this restriction.
• Scrape, overload, or interfere with the service or its infrastructure, or attempt to gain unauthorised access.
• Upload malicious code, or use the service to harm others.
• Misrepresent your identity or your authority to connect an account.

07AI output and accuracy

• The figures Adverti shows are computed by our deterministic engine from your connected data. The AI assistant explains and narrates those figures, and can draft reports and creative briefs.
• AI-generated text can contain errors or omissions. Review it before you rely on or act on it.
• Because reconciliation depends on data from third-party platforms, which can be delayed, incomplete, or restricted, we do not warrant that any figure is complete or error-free.
• You are solely responsible for decisions you make using the service.

08Intellectual property

• Our property. Adverti Chat, its software, design, and content, and all related intellectual property, belong to AdverGrow Solutions LLP or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service under these terms.
• Your data. You retain all rights to the data you connect and the content you provide. You grant us the limited licence needed to host and process that data to provide the service, as described in the Privacy Policy.
• Feedback. If you send us suggestions, we may use them without obligation to you.

09Your data and privacy

Our handling of personal data is governed by our Privacy Policy. Where we process personal data on your behalf as your processor, for example data from your connected store, that processing is also governed by a Data Processing Agreement, which we make available on request or as part of your plan.

10Disclaimers

The service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any result or figure will meet your expectations.

11Limitation of liability

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the service.
• Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited under applicable law.

12Indemnity

You agree to indemnify and hold harmless AdverGrow Solutions LLP and its partners, officers, and employees from claims, losses, and expenses arising from your misuse of the service, your breach of these terms, or your processing of data you had no right to process.

13Term, suspension and termination

• These terms apply while you use the service.
• You may stop using the service and close your account at any time.
• We may suspend or terminate your access if you breach these terms, if required by law, or to protect the service and its users. Where reasonable, we will give notice.
• On termination, your right to use the service ends. Provisions that by their nature should survive, such as intellectual property, disclaimers, liability limits, and indemnity, will survive.

14Governing law and disputes

These terms are governed by the laws of India. Subject to any dispute resolution process we agree with you, the courts at Ahmedabad, Gujarat will have exclusive jurisdiction over any dispute arising from these terms or your use of the service.

15Changes to these terms

We may update these terms as the product and the law change. When we make a material change, we will update the date above and, where appropriate, notify you. Continuing to use the service after a change means you accept the updated terms.
